Terms of service - Lidarvisor

These Terms of Service (“Terms”) govern your access to and use of Lidarvisor’s cloud-based LiDAR processing platform (“Service”), operated by Lidarvisor LLC, a New Mexico limited liability company (“Lidarvisor,” “we,” “us,” or “our”).

By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you agree to these Terms on behalf of that organization.

1. Definitions

“Account” means your registered user account on the Service.
“Credits” means the processing units used to measure Service usage. One Credit equals one hectare (ha) of point cloud processing.
“Customer Data” means point cloud files, models, and other data you upload to the Service.
“Subscription” means a recurring paid plan (Premium or Advanced) with monthly or yearly billing.
“Credit Pack” means a one-time purchase of additional Credits, available only to active Subscribers.

2. Account Registration

2.1 Eligibility

You must be at least 18 years old and capable of entering into a binding agreement to use the Service.

2.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities under your Account. Notify us immediately at support@lidarvisor.com if you suspect unauthorized access.

2.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update it as necessary.

3. Service Plans and Credits

3.1 Freemium Plan

The Freemium plan includes:

Processing of up to 10 hectares of point cloud data at no charge
One-time starter Credits (non-renewable)
Access to core features including viewing, classification, and export

Freemium Credits do not renew. Once depleted, you must purchase a Subscription to continue processing.

3.2 Subscription Plans (Premium and Advanced)

Subscriptions provide:

Monthly allocation of Credits based on your plan tier
Credit Rollover: Unused Credits roll over indefinitely while your Subscription is active—month to month and year to year
Access to additional features as described on our pricing page
Priority support (Advanced tier)

Subscriptions renew automatically at the end of each billing period (monthly or yearly) unless cancelled.

3.3 Credit Packs

Credit Packs are one-time purchases of additional Credits that:

Require an active Premium or Advanced Subscription to purchase and use
Roll over indefinitely while your Subscription remains active
Are non-refundable once purchased

Credit Packs cannot be used with a Freemium account.

3.4 Credit Expiration After Cancellation

If you cancel your Subscription:

Your Subscription remains active until the end of your current billing period
All unused Credits (including Subscription Credits and Credit Pack Credits) remain valid for 90 days after the effective end date of your Subscription
After 90 days, any remaining Credits expire and cannot be recovered
Your account reverts to Freemium status, and you retain access to view your projects but cannot process new data beyond the free tier

3.5 Credit Usage

Credits are consumed when you process point cloud data. One Credit equals one hectare processed (1 ha ≈ 2.5 acres). The number of Credits required depends on the dataset size. Current Credit rates are displayed in the Service interface before processing.

3.6 Plan Changes

Upgrades (Freemium to Premium/Advanced): You can upgrade anytime from the pricing page. Your new Subscription starts immediately.
Switching between Premium and Advanced: Contact support@lidarvisor.com. Changes take effect at your next billing cycle.
Downgrades: Cancel your Subscription to revert to Freemium at the end of your billing period.

4. Payment Terms

4.1 Pricing

Current pricing is available at https://lidarvisor.com/pricing. Prices are in US Dollars (USD) unless otherwise stated.

4.2 Billing

Subscriptions: Charged in advance on a monthly or yearly basis. Yearly billing provides a 33% discount compared to monthly billing.
Credit Packs: Charged at the time of purchase. Requires an active Subscription.
Payment Methods: We accept major credit cards and other payment methods as displayed at checkout.

4.3 Taxes

Prices exclude applicable taxes. You are responsible for all taxes associated with your purchases, except for taxes based on Lidarvisor’s net income.

4.4 Failed Payments

If a payment fails, we will attempt to charge your payment method again. If payment remains unsuccessful, we may suspend your access to paid features until payment is received.

4.5 Refunds

Subscriptions: We offer a 14-day refund for first-time subscribers who have not consumed more than 10% of their monthly Credits. Contact support@lidarvisor.com.
Credit Packs: Non-refundable once purchased.
Unused Credits upon cancellation: Credits are not refundable or redeemable for cash. Unused Credits remain valid for 90 days after cancellation (see Section 3.4).

5. Your Data

5.1 Ownership

You retain all rights to your Customer Data. By uploading data to the Service, you grant Lidarvisor a limited license to process, store, and display your data solely to provide the Service.

5.2 Data Security

We implement industry-standard security measures to protect your Customer Data. For details, see our Privacy Policy.

5.3 Data Retention

Active Accounts: Your Customer Data is retained while your Account is active.
Inactive Accounts: For Freemium accounts with no activity for 12 months, we may delete Customer Data after providing 30 days’ notice.
Account Termination: Upon termination, you have 45 days to export your data. After this period, we will delete your Customer Data.

5.4 Data Export

You may export your Customer Data at any time using the export features in the Service. Exports are provided in standard formats (LAS, LAZ, DXF, SHP, GeoJSON, TIFF, GeoTIFF).

6. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Upload malicious code or attempt to compromise the Service’s security
Reverse engineer, decompile, or disassemble any part of the Service
Resell, sublicense, or provide the Service to third parties without authorization
Interfere with or disrupt the Service or its infrastructure
Use automated tools to access the Service except through our published APIs
Exceed reasonable usage limits or abuse the Service in a way that impacts other users

We reserve the right to suspend or terminate Accounts that violate these terms.

7. Service Features

7.1 Current Features

The Service provides LiDAR point cloud processing capabilities including:

Automatic point cloud classification (ground, vegetation, buildings, water, wires, poles, vehicles, and other classes)
Digital Surface Model (DSM) and Digital Terrain Model (DTM) generation
Hillshade, slope map, and contour line generation
Feature extraction (building footprints, tree crowns, wires, poles)
Vectorization and CAD export (DXF, SHP, GeoJSON)
Cloud-based 3D visualization
Data sharing via secure URLs

7.2 Changes to the Service

We continuously improve the Service and may add, modify, or discontinue features. We will provide reasonable notice for changes that materially reduce functionality available under paid plans.

8. Intellectual Property

8.1 Lidarvisor’s Rights

The Service, including its software, algorithms, user interface, documentation, and trademarks, is owned by Lidarvisor and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited license to use the Service.

8.2 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, royalty-free license to use and incorporate such feedback without compensation or attribution.

9. Disclaimers

9.1 “As Is” Service

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 No Guarantee of Results

We do not guarantee that the Service will meet your specific requirements or that processing results will be suitable for any particular application. You are responsible for verifying output accuracy for your use case.

9.3 Service Availability

We strive for high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

10. Limitation of Liability

10.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIDARVISOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

10.2 Liability Cap

LIDARVISOR’S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO LIDARVISOR IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

10.3 Basis of the Bargain

THE LIMITATIONS IN THIS SECTION REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES AND ARE AN ESSENTIAL BASIS OF THE AGREEMENT BETWEEN US.

11. Indemnification

You agree to indemnify and hold harmless Lidarvisor and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from:

Your use of the Service
Your Customer Data
Your violation of these Terms
Your violation of any third-party rights

12. Term and Termination

12.1 Term

These Terms remain in effect while you have an Account or use the Service.

12.2 Termination by You

You may cancel your Subscription at any time through the account settings or by contacting support@lidarvisor.com. Cancellation takes effect at the end of your current billing period. You may delete your Account entirely by contacting support.

12.3 Termination by Us

We may suspend or terminate your Account if:

You breach these Terms
Your Account has been inactive for 24 months
Required by law
Continued service is commercially unreasonable

We will provide notice before termination unless immediate action is required to protect the Service or other users.

12.4 Effect of Termination

Upon Subscription cancellation:

Your Subscription remains active until the end of your current billing period
Unused Credits remain valid for 90 days after your Subscription ends
Your account reverts to Freemium status after the 90-day period

Upon Account deletion:

Your right to access the Service ends immediately
You have 45 days to export your Customer Data before deletion
Provisions that by their nature should survive (including Sections 5.1, 8, 9, 10, 11, and 14) will remain in effect

13. Modifications to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice in the Service at least 30 days before the changes take effect.

Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and close your Account.

14. General Provisions

14.1 Governing Law

These Terms are governed by the laws of the State of New Mexico, USA, without regard to conflict of law principles.

14.2 Dispute Resolution

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Albuquerque, New Mexico, or remotely at the parties’ mutual agreement. Each party bears its own costs, and arbitrator fees are split equally.

Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class actions or class arbitrations.

Small Claims Exception: Either party may bring individual claims in small claims court if the claims qualify.

14.3 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Lidarvisor regarding the Service and supersede all prior agreements.

14.4 Severability

If any provision of these Terms is held unenforceable, that provision will be modified to reflect the parties’ intent, and the remaining provisions will remain in effect.

14.5 Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of that provision.

14.6 Assignment

You may not assign these Terms without our written consent. We may assign our rights and obligations without restriction.

15. Additional Terms for Enterprise Customers

If you have signed a separate Master Service Agreement or Enterprise Agreement with Lidarvisor, those terms govern your use of the Service to the extent they conflict with these Terms.

By using Lidarvisor, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
